Default 2nd gear grind.

Im pretty sure its my synchro going out, as after 135k miles, stuff starts to happen, but i've been told that replacing the transmission fluid might also be the reason.

I had replaced all the fluid at 130k miles, when i first got the car, so im not sure how much i really believe this, but i wanted to get a few inputs from some more people, and also if someone has had something similar and how much they paid to fix it. Also any places recommended over other?

The weirdest thing about it to me though, it doesnt do it every shift. It seems to only happen once every 40 something shifts from 1st to 2nd, no matter the rpm/speed of the car.

Sounds like the spring and syncro are worn. I've never rebuilt one but if you do decide to rebuild it, id be willing to help.
If you buy a new/used one I would toss you some cash for the one thats grinding so I can tear it apart and learn about it.

I know this is not relevant to the thread or in any way helpful, but I read the title and automatically thought of this:

update. No grinding since, seems to have fixed the problem. Will look into a used tranny in time though.
