I have about $2000 bucks, want horse....?
I have a couple grand to throw into the S and I want to know where to put it. Here's the catch, I don't want NOS and I want to keep most of my warrenty (sp?). I was thinking about a cold air intake, headers & exhaust, and a chip. Some people I've talked to say that there is a good chance that if I do anything I will lose power because the S is already built for the best performance. Let me know whats up, I don't know much about this kinda stuff.

If I were starting with this amount, I'd throw it here...
gears(4.44 or 4.77)~$800 (installed)...quicker acceleration
vafc & harness~$500(installed & tuned)...+10-15hp
muz cross brace<$200...improved steering response
any lightweight single exhaust<$600...weight reduction, tough sound, & maybe +5hp
all this stuff is proven to help in one way or another

nope..... the exhaust is the last thing you wanna do considering how good our stcok exhaust is ......
I would do all the above but for get about the exhaust and go with the intake....... $250
total of 1750...u still have 250 to buy dinner...... or save up for a nice header

I would definitely do the gears! Gears + Yellow box installed = ~$1000.
For the other thousand I would do like Beroz said, intake and a dyno-tuned VAFC, and if money is left get a nice cross brace.

Thanks, I'll probably go with the 4.77 gears for sure and maybe the VAFC. The only concern then would be that my gas milage with go to all shit. Keep the ideas commin.

Maybe I'm wrong because I don't even know what a VAFC is. I thought it was something that lowered the RPM where the V-Tech kicks in. If that is what it does then my car would be running in V-Tech all the time and burning more gas.

V-AFC's are used to lean out the air / fuel ratio, which would cause some improvement in fuel economy. It will also allow you to change the VTEC engagement point, but it shouldn't be lowerd more than 200-300 RPMs, or you will actually lose power.

Where are you getting your prices?
Gears alone are close to 800 (with needed replacement parts and yellow box).
If you have some money, the gears are a must. Then an intake. The Hondata gasket is another good investment (since our engine HATES heat). The Mugen or Amuse ECU is another good choice. Then the exhaust (single outlet...IMO).
From what I've read, our exhaust is ok, but not great so getting an exhaust will help some.
