Well I adjusted the thing Billman said not to, than went back and tightened the rod and not the sensor. The guy is a knowledge base of the S2000 so take his word. Oh FYI for those who did adjust the sensor, did you unclip the plug before doing that? Because you twisted the wires up, maybe nothing bad but idk. Oh also the 12mm against the firewall holding the rod on mine were loose.

Change the clutch fluid.
Set the clutch rod under the dash to zero freeplay. Only the master should have its built in freeplay. Remove the play in the linkage only. Loosen the 12mm nut and turn the rod with your fingers to remove the play.
Also, make sure you push the clutch all the way to the floor BEFORE you pull the shifter out of first.
Do all this, you have an 80% chance of getting rid of the 2nd gear grind.

Get your head under and look,self evident once your under there
done mine after trying hard jobs first, even considered selling it because of the crunch,
thought it was normal and needed driving skills I did not have-
5k gear changing hard work, very painfull in traffic ...

Ok, this thread is back from the dead. The freeplay thing is often misunderstood. Let me try to explain.
You will see where the clutch rod pushes on the back of the MC, on the MC piston. You want to loosen 12 mm lock nut, turn the rod by hand until it just starts to push on the piston. That is zero play. Tighten lock nut.
At zero play, there will still be enough play in MC to provide the needed play to prevent any clutch disengagement while pedal is at rest.

This 100% worked for me. I also cleaned out my clutch fluid.
