What are your thoughts on this deal?....

It's a car... not the woman of your dreams. Never fall in love with anything that can't love you back.
Seriously, as one earlier poster noted, Kelly Blue Book is $21,225
That "value" takes into consideration the mileage and condition as "excellent". Unless you have a lot of extra coin laying around, $24k would be $2,775 more than you "should" expect to be able to sell it for the day you take it home. In other words, it's like buying a new car and getting hit with depreciation the minute you take ownership. However, in this case, it's not a new car.
FWIW: We paid $25k for an '04 with 15k miles which had a KBB value of $25,350. It also had a transferrable HondaCare 100k mile service contract worth about $1k and a Honda factory front spoiler. I think it was a fair deal given the extras but, just watching the market, $25k would have been a bit high without them.

See if at that price he'll pay for a paintless dent removal guy to come out and fix the door-ding.
The trick is finding a great tech and knowing what can and can't be massaged out. Our guy is a Dentmaster franchisee who is even more anal than me. I had someone park up along side our black Suburban during a windstorm who failed to take into consideration what was going to happen when he opened his door and it left two deep dents but no paint damage in the contoured steel of the right rear passenger door. After he did his thing it is impossible to tell that there was ever any damage to the door.... $65 and while he was in there he noticed two other small door dings that he also removed.

If you're not certain that it is a good enough deal for you, offer them $27,700 and be prepared to walk out the door. If it doesn't work, you can always walk back in an hour later and meet them half way. Think how much gas you could buy with the difference. Good luck in the negotiation and try to enjoy the process. In a worst-case-scenario, you get a 2005 for a little more.
