Major mods done: Custom Blue black leather, Custom hood, fenders, side skirts, front and rear bumper, custom exhaust, full race suspenion, carbon fiber everything, nice wheels, shaved door handels, $2000 alarm, every option and thing you can buy for a civic is on there.

IMO you should keep trade in or sale of your current car separate from your purschase. Sell your current car 1st, or agree on a price for your new s2000 prior to haggling over trade in. Otherwise it gets confusing.
Get a list of dealers- HMC has a dealer locator on their webpage, and start calling. Pick what you will pay, make it clear that you can pay them that day (line up finacing ahead of time) and ask if you are in the ballpark. Stay firm.
Try a search on this topic- lots of good ideas out there. My guess is you could get it for MSRP (don't think it would have been easy in OR at this time last year), or perhaps less. Any folks on the board bought in the Willamette Valley for MSRP in the last month or two?

USED is Another Option:

I bought my 2000 S2K used from a private owner for $32K (9K miles). Came with extended, transferrable warranty and is a Honda authorized pre-owned vehicle. It's also the rarest color: white/red.

Just to note... A quick check of Ebay (usually the home of overpriced car sales) had numerous dealers with a "buy-it-now" option for straight MSRP on new, 2001 S2000's.
