your going to need atleast 220whp+ to HANG with him. and you'll need to shift like mad.
when i was at 227whp i was able to stay door to door with a SMG E46, and i was flat footing it through every shift.

like i said before, get a bomb ass single exhaust, and a very aggressive tune, then go race him.... 
E46's are not as fast as everyone is making them out to be......

Not even close... and your S2K in my opinion would have a better chance from a roll on the highway since you would have the ability to take advantage of the better breathing up top especially with your mods, but again... still the stock E46 M3's race unless he cannot drive or mis-shifts.
