As for shitty weather conditions depending on where you live S4, I'm not attracted to four door sedans and I liked the 00-02 S4's far better than the 04's.

Isn't the E46 M3 more like 3400 lbs,a nd the Audi something like 3800lbs? 3400 is kind of heavy, 3800 is bordering on rediculus IF you use the car as a sports car - as a Grand tourer, who cares?

I've driven both as well since I've been considering my options as my lease for my MY01 comes up in a couple of months. Personally, I would get an M3 if space was not a consideration. Then again, the S4 has a pretty small back seat, so the main advantage in space is that you have the back two doors to get stuff (or kids) in and out of the car.
The one thing that also appears clear is that M3 leases are superior to S4 leases because the residual value is much higher for BMWs, and therefore you pay less depreciation (= less $$ payments).
I don't think you can go wrong with either car - they both have the same maintenance warranty too, so cost of ownership in the first 4 yrs/50K miles is not that high overall.
