Default Pre-purchase help

I'm in the market for a used S2000 and I saw one at a dealer and the asking price is $22,225. The car is an '04 model but with almost 48,000 miles on it. I'm posting it here because I'm in the L.A. area. Do you guys think this is a good price. What should be a good price for me to offer?
Any comments is greatly appreciated.

Depending on condition, 21,000-22,500 seems like a fair deal with 48k miles. You can look up prices on yahoo/msn/kelly/etc... If only moderate condition $20,000-$21,000 is fair.

I was thinking of offering $20k OTD not sure if it was way too low. Exterior of the car is okay, noticed as few dings on the rear quarter panel. The interior was not taken cared of well, you can see a lot of wear. Some of the letters on the radio is already gone. I don't know if I'm just too picky but this is just a 2 yr. old car.
