intakes can make gasping sounds when you let off the throttle at high RPM. My K&N does it. I wouldn't consider it related to the oil issue.

I have had my intake on since about 5k and now it's at 60k and this I the first I've heard it like this. But it could be unrelated. Asked the tech last night about the TCT and he said if that was the issue that there would be a rattle...is that true?

If it looks like its from the headgasket and leaking, it's either:

VTEC solenoid O-ring/gaskets (there's 2 of them)
TCT (there's another o-ring in there)
Cam-sprocket bolt
or the timing case as mentioned.
Other than that there's nothing I can think of, maybe the VC gasket but I doubt that would go unnoticed.

If it's the timing case, just clean it with brake-clean and smear a very heavy bead of good-quality silicone (Honda-Bond preferably).

It's kind of like a tick/rattle.

Looks like this is the leak you're experiencing: https://www.s2ki.com/s2000/topic/782...#entry20143805

If so, it's the timing chain case not sealing up correctly. I have this same issue on my car (and I've seen a few S2000's with this issue as well). Funny, I'm in the same boat as you were in the dealer replaced my valve cover gasket and VTEC solenoid gasket under warranty. However, I'm now outside of warranty (past 5 years, I have a 2007) and am having problems with American Honda covering this repair now.
